What is being separated

Curbline Properties is a REIT focused exclusively on convenience retail — small-format properties on the curb of well-trafficked intersections in wealthy submarkets with barriers to entry — separated from SITE Centers as the first public REIT dedicated to the asset class.

Stated rationaleSITE Centers said separating the convenience portfolio would create a pure-play convenience REIT while SITE Centers monetizes its remaining shopping centers.

The write-up

SITE Centers distributed Curbline Properties on October 1, 2024, two Curbline shares for every SITE Centers share, in a taxable spin-off. Curbline is a REIT that owns convenience shopping centers — small, unanchored properties on the curb of well-trafficked intersections — and it launched with no debt, about $600 million of cash, a $400 million undrawn revolver and a $100 million delayed-draw term loan, all earmarked for acquisitions. SITE Centers kept its larger shopping centers and has since sold most of them. On MoatScope's framework Curbline carries no moat rating and a quality score of 48 at a $3.1 billion market value, trading at $29.47 against a base-case fair value estimate of $27.60 — 1.08×. SITE Centers is a $150 million stub at 0.24× a fair value estimate that is not meaningful for a company in liquidation.
