Knife River is an aggregates-based construction materials and contracting services provider with 1.1 billion tons of aggregate reserves, using roughly 40% of its aggregates internally for ready-mix concrete, asphalt and heavy-civil contracting. It is the fifth-largest producer of sand and gravel in the United States.
Stated rationaleMDU Resources said the separation would create two pure-play companies — a regulated energy delivery business and a construction materials business — each with its own strategy and capital allocation.
MDU Resources distributed Knife River on May 31, 2023, one Knife River share for every four MDU shares, keeping about 10% of the new company to dispose of later. Knife River is a vertically integrated construction-materials business — aggregates, asphalt, ready-mix concrete and contracting services, which alone generated $1.2 billion of revenue in 2022 — with strategically located reserves and an internal fleet of trucks, rail and barges. It borrowed $275 million of term loans and arranged a $350 million revolver at separation. MDU keeps its regulated utilities and, after the later Everus spin-off, nothing else. On MoatScope's framework Knife River carries a Narrow moat and a quality score of 47 at a $3.5 billion market value, trading at $61.83 against a base-case fair value estimate of $11.97 — 5.2×. MDU carries a Narrow moat and a quality score of 37 at $4.0 billion, 1.50× fair value.
